Associate General Counsel - Defense & Aerospace, Safety, Security

Based onsite in St. Petersburg, FL

We are searching for an Associate General Counsel, Government Business, to join the team in its Saint Petersburg, FL (greater Tampa Bay area) location. 

The Associate General Counsel is a senior role in the commercial legal team, specifically responsible for providing legal services to our Defense, Aerospace, and government contracting/subcontracting businesses. This position entails offering strategic insights, robust management and leadership experience, and comprehensive legal advice on a broad spectrum of matters, including contracts, regulatory issues, disputes, compliance, intellectual property, and risk management. The Associate General Counsel will supervise, manage, and mentor other legal professionals, develop best practices and templates, set strategy and policy, and co-lead legal education initiatives within the organization.

What can you expect to do?

  • Provide strategic and practical legal advice to business and sales units on complex commercial matters.
  • Draft, review, and negotiate a wide range of contracts and agreements, including non-standard business models, ensuring alignment with organizational objectives and legal standards.
  • Must be willing to travel periodically, work extended hours as needed, and being onsite (not remote) is essential.
  • Develop and refine legal templates and best practices to drive operational efficiency and consistency.
  • Collaborate with cross-functional teams to provide legal guidance on compliance requirements and recommend solutions to mitigate and resolve risks.
  • Works with limited supervision and demonstrate creative problem-solving. manages internal customer relationships, aligns with strategic vision, supports corporate strategy and objectives, and oversees outside counsel, including budgeting for legal matters. 
  • Mentor and develop junior legal professionals, fostering a culture of excellence and continuous improvement within the legal team.
  • Co-lead legal education initiatives within the organization, to promote legal awareness and foster a culture of knowledge-sharing.
  • Manage and resolve legal disputes, effectively mitigate risks, and safeguard the company's legal and business interests.
  • May perform other duties and responsibilities as assigned.

MANAGEMENT & SUPERVISORY RESPONSIBILITIES

  • Reports to the VP, Deputy General Counsel of the business segment.
  • This role has direct supervisory duties over Senior Counsel and Counsel roles.

What is the experience needed to be successful in this role?

  • Extensive experience in commercial law, with a strong preference for candidates with a background in government contracting, DoD and GSA. Strong communication, negotiation skills and a collaborative and innovative mindset are essential. 
  • Serve as primary legal advisor for Defense, Aerospace and government contracting business. Review and interpret government solicitations, contracts and defense contracts, and ensure compliance with applicable regulations (e.g. FAR, DFAR, ITAR, EAR, etc.).
  • Demonstrated ability to handle complex legal issues and deliver strategic, business-aligned solutions. Prior experience in defense, aerospace, or government contracting industries are preferred, or demonstrated ability to quickly learn and apply legal and regulatory frameworks to these sectors.
  • Excellent oral and written communication skills, sound judgement, and strong interpersonal abilities to work in a dynamic, fast paced, and energetic environment. 
  • Fluency in English (spoken and written) is required.
  • Strong work ethic, self-motivated and proactive. Demonstrated conflict resolution skills, business acumen, and solution-oriented approach to problem solving. Ability to effectively prioritize and manage competing demands.
  • Exceptional mentoring and leadership skills, with a commitment to team building and the professional development of others.
  • Strong analytical and problem-solving skills, with a focus on risk management and compliance.
  • Ability to partner effectively with executive leadership, sales, compliance, and operations teams to align legal strategy with business objectives.

EDUCATION & EXPERIENCE REQUIREMENTS

  • JD from an ABA-accredited law school, and is member of a bar in good standing, with at least one U.S. state bar. An advanced degree with relevant subject matter is a plus (e.g. Master of Laws (LL.M.) in Government Procurement Law, or Master of Laws (LL.M.) in National Security & U.S. Foreign Relations.
  • 12+ years of legal or relevant professional experience in contract management, with emphasis on government contracts in Aerospace and Defense sectors 
  • In depth knowledge of government contracting principles, FAR, DFARS, ITAR, EAR, compliance requirements in defense and aerospace industries, and experience managing contracts with federal agencies (e.g. Department of Defense, NASA) or with government prime contractors.
  • To conform with U.S. Government export regulations, candidates must be a U.S. Citizen, U.S. lawful permanent resident (green card holder), or legally admitted under U.S. refugee or asylum programs 8 U.S.C. 1157 or 8 U.S.C. 1158.
  • Active security clearance (e.g. Secret or Top Secret) is a plus.
